Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Baronx website, the OXTON platform, and any related services (together, the “Services”), operated by BARONX LTD (“Baronx”, “we”, “us”). By using BARONX, you agree to use the platform legally and responsibly, and to be bound by these Terms and by our Privacy Policy.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@baronx.co.uk if you suspect unauthorized access.

We may suspend or terminate access to the Services if we reasonably believe an account has been compromised or used in violation of these Terms.

You must not misuse the Services or attempt to disrupt them. This includes agreeing not to:

• Violate any applicable law or regulation.
• Reverse engineer or attempt to extract source code from the Services, except where permitted by law.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to build a competing product without our prior written consent.
• Circumvent any governance controls, spend limits, or approval gates configured within OXTON.

Services are provided “as is” without guarantees of uninterrupted availability. We aim for 99.9% uptime but do not guarantee it, except where a specific uptime commitment is set out in a signed order form or service level agreement.

Paid plans are billed according to the order form or subscription agreement associated with your account. Usage-based plans are billed in arrears based on metered usage. Payments are handled in line with our Refund Policy.

Baronx retains all right, title, and interest in the Services, including all software, models, and documentation. You retain all rights to the data you submit to the Services. We do not use your operational data to train models for any customer other than you.

The Services are provided “as is” without warranties of any kind, express or implied, except as expressly set out in a signed order form. To the maximum extent permitted by law, Baronx will not be liable for indirect, incidental, or consequential damages arising from your use of the Services.

We reserve the right to suspend or terminate accounts that violate these Terms. Either party may otherwise terminate as set out in an applicable order form, or, absent an order form, with 30 days’ written notice.

We may update these Terms from time to time. If we make material changes, we will notify account administrators by email and update the “last updated” date above. Continued use of the Services after changes take effect constitutes acceptance.
